Item 8.01 Other Events.
On August 24, 2010, the Board of Directors of MRV Communications, Inc. (the “Company”) elevated Kenneth Shubin Stein to the position of Chairperson. Joan Herman, who has been serving as Chairperson, will remain a Director and continue to serve on the Company’s Compensation Committee and Nomination and Governance Committee. Dr. Shubin Stein, who was appointed to the Company’s Board in November 2009, is also a member of the Audit Committee and Nomination and Governance Committee.
