1. This Form 4 is being filed jointly by each of the following persons: (i) Globis Capital Partners, L.P. ("Globis Partners"), with respect to the shares of Common Stock directly held by it; (ii) Globis Capital Advisors, L.L.C., which serves as the general partner of Globis Partners, with respect to the shares of Common Stock directly held by Globis Partners; (iii) Globis Capital Mangement L.P., which serves as investment manager to, and has investment discretion over the securities held by, Globis Partners, with respect to shares of Common Stock directly held by Globis Partners.; (iv) Globis Capital L.L.C. ("GC"), which serves as the general partner of Globis Capital Management L.P., with respect to the shares of Common Stock held directly by Globis Partners; and (v) Mr. Paul Packer, who is the Managing Member of Globis Capital Advisors, L.L.C. and GC, with respect to shares of Common Stock directly held by Globis Partners.

2. The transaction was executed in multiple trades at prices ranging from $3.60.to $3.995. The price reported above reflects the weighted average sales price.
