Dear Shareholder,
The 2024 Annual Meeting of Shareholders of CPI Aerostructures, Inc. (the “Company”) will be held at 91 Heartland Blvd, Edgewood, New York 11717, on Wednesday, June 19, 2024, at 1:00 p.m. (local time).
Proposals to be considered at the Annual Meeting:
| (1) | To elect to the Company’s Board of Directors, two persons nominated by the Company’s Board of Directors as Class II directors; |
| (2) | To select, on an advisory basis, the frequency with which the Company will hold an advisory shareholder vote to approve the Company’s Named Executive Officer Compensation; |
| (3) | To approve, on an advisory basis, the compensation of the Company’s Named Executive Officers; and |
| (4) | To address such other matters as may properly come before the Annual Meeting or any adjournment or postponement thereof. |
The Board of Directors recommends a vote “FOR” the two nominees under Proposal 1, “EVERY YEAR” on Proposal 2 and “FOR” Proposal 3.
