To approve a Plan of Reorganization whereby all of the assets and liabilities of Prudential Small Cap Value Fund, a series of Prudential Investment Portfolios 5, will be transferred to, and assumed by, Target Small Capitalization Value Portfolio, a series of The Target Portfolio Trust, in exchange for shares of Target Small Capitalization Value Portfolio and the cancellation of all of the shares of Prudential Small Cap Value Fund, and Prudential Small Cap Value Fund will be dissolved. |
