Explanation of Responses:

1. Restricted Stock Unit ("RSU") award granted on October 24, 2022. Each RSU represents a contingent right to receive one share of the Company's common stock once vested. The RSUs vest as to one-third of the shares on October 15, 2023 and the remaining two-thirds of the shares underlying the RSUs will vest in semi-annual increments over 24 months from the one-year anniversary of October 15, 2023.

2. Represents the number of shares of the Company's common stock withheld to satisfy the reporting person's tax obligation in connection with the settlement of shares of common stock underlying the portion of the RSUs that vested on October 13, 2023.
