ITEM 8.01. Other Events.
On September 21, 2010, NPS Pharmaceuticals, Inc. (“NPS”) issued a press release announcing the closing of its previously announced public offering of 6,880,000 shares of its common stock. Prior to the closing of the offering, Jefferies & Company, Inc., acting as the sole book-running manager, and Canaccord Genuity Inc., acting as co-lead manager, exercised in full their over-allotment option to purchase an additional 1,032,000 shares of NPS common stock. The exercise of this option increased the size of the offering to an aggregate of 7,912,000 shares of NPS common stock. NPS received proceeds of approximately $44.4 million from the offering, after deducting underwriting discounts and estimated offering expenses.
