Item 7.01. Regulation FD.
On March 18, 2019, Revlon, Inc. (“Revlon”), the parent company of Revlon Consumer Products Corporation (“RCPC” and together with Revlon and its subsidiaries, the “Company”), issued a press release announcing the Company’s unaudited earnings results for the fourth quarter and full-year 2018 and disclosed in a Form 12b-25 that the Company requires additional time to finalize management’s assessment and the audit of the effectiveness of the Company’s internal control over financial reporting as of December 31, 2018. Revlon also announced that the Company expects to disclose in its 2018 Form 10-K that it identified a material weakness in its internal control over financial reporting as of year-end 2018, primarily related to the lack of design and maintenance of effective controls in connection with the previously-disclosed implementation of its enterprise resource planning system in the U.S.
RCPC is a “non-accelerated filer” within the meaning of the SEC’s rules and its Annual Report on Form 10-K for the fiscal year ended December 31, 2018 is not due to be filed with the SEC until April 1, 2019. RCPC will file its 2018 Form 10-K by this deadline. RCPC also expects to disclose in its 2018 Form 10-K that it identified a material weakness in its internal control over financial reporting as of year-end 2018 for the same reasons as described above with respect to the Company’s material weakness.
In accordance with General Instruction B.2 to the Form 8-K, the information under this Item 7.01 shall be deemed to be "furnished" to the SEC and not deemed to be "filed" with the SEC for purposes of Section 18 of the Exchange Act or otherwise subject to the liabilities of that section.
