On August 6, 2007, Zoltek Companies, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended June 30, 2007. A copy of the press release is attached hereto and incorporated herein as Exhibit 99.1. This Item 2.02 of Form 8-K, including Exhibit 99.1 attached hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.

On August 6, 2007, the Company issued a press release announcing its plans to make a public offering of its common stock. A copy of the press release is included as Exhibit 99.2 to this Form 8-K and is hereby incorporated by reference.
