The registrant has filed a prospectus, dated October 18, 2016, setting forth a description of the receivables pool and the structure of $360,000,000 aggregate principal amount of the Class A-1 Asset Backed Notes (the “Class A-1 Notes”), $570,000,000 aggregate principal amount of the Class A-2 Asset Backed Notes, $450,000,000 aggregate principal amount of the Class A-3 Asset Backed Notes, and $120,000,000 aggregate principal amount of the Class A-4 Asset Backed Notes by Honda Auto Receivables 2016-4 Owner Trust. American Honda Receivables LLC will initially retain all of the Class A-1 Notes, which are not registered under the Securities Act of 1933, as amended.
