Item 8.01	Other Events.
	On July 20, 2022, the Company’s Board of Directors declared a regular quarterly dividend of $0.05 per share on the Company's common stock.  The dividend is payable on September 9, 2022, to the stockholders of record on August 19, 2022.  A copy of the press release announcing the dividend declaration is attached hereto as Exhibit 99.1 and incorporated by reference herein.
