Item 8.01	Other Events.
	On January 24, 2024, the Company’s Board of Directors declared a regular quarterly dividend of $0.10 per share on the Company's common stock.  The dividend is payable on March 7, 2024 to the stockholders of record on February 15, 2024.  A copy of the press release announcing the dividend declaration is attached hereto as Exhibit 99.1 and incorporated by reference herein.
