On January 21, 2025, Patterson Companies, Inc., a Minnesota corporation (the “Company” or “Patterson”), issued a press release announcing the expiration of the 40-day “go-shop” period under the terms of the Agreement and Plan of Merger, dated December 10, 2024, by and among Paradigm Parent, LLC, a Delaware limited liability company (“Parent”), Paradigm Merger Sub, Inc., a Minnesota corporation and a wholly owned subsidiary of Parent (“Merger Sub”), and the Company, providing for the acquisition of the Company by affiliates of Patient Square Capital, L.P., subject to the terms and conditions set forth therein (the “Merger”).
