Item 1.01 Entry into a Material Definitive Agreement.
On November 12, 2010, Applied Nanotech Holdings, Inc. (“APNT”) completed an intellectual property purchase and license agreement with Samsung Electronics Co., Ltd. related to APNT’s electron emission intellectual property. Under the agreement APNT sold 29 patents (11 U.S. and 18 foreign) and licensed approximately 150 additional patents. Included in the licensed patents, is the patent referred to as the Raman Spectrum Patent (U.S. Patent 5869922). In exchange, APNT received a one-time payment of $3.75 million.
