Item 8.01 – Other Events
Audit Committee
Effective April 16, 2020, Perma-Fix Environmental Services, Inc.’s (“the Company”) Board of Directors (“the Board”) approved the appointment of Joseph Timothy Grumski as a member of the Audit Committee. Concurrently, Zach Wamp is no longer a member of the Audit Committee. Joseph Timothy Grumski became a Board member effective February 4, 2020. The Board has determined that Joseph Timothy Grumski meets the Nasdaq’s composition requirements, including the requirements regarding financial literacy and financial sophistication, and that Joseph Timothy Grumski is independent under the Nasdaq listing standards and the rules of the U.S. Securities and Exchange Commission regarding audit committee membership.
Record and Meeting Date for 2020 Annual Meeting of Stockholders (the “Meeting”)
Subject to being revised by the Company’s Board, the Board has set July 22, 2020 as the date for the Company’s 2020 Annual Meeting of Stockholders with a record date for the Meeting as June 2, 2020.
