ITEM 5.     OTHER EVENTS AND REQUIRED FD DISCLOSURE

            Effective  at the opening of trading on April 30,  2003,  the common
stock,  $.20 par value per share,  of SL Industries,  Inc. (the "Common  Stock")
commenced  trading on the American Stock Exchange under the ticker symbol "SLI."
The Common Stock had traded  under the ticker  symbol "SL" on the New York Stock
Exchange through the close of trading on April 29, 2003. Additionally, effective
at the  opening of trading on April 30,  3003,  the ticker  symbol of the Common
Stock on the Philadelphia Stock Exchange was changed to "SLI" from "SL."

issued on April 28, 2003 attached hereto as Exhibit 99.1.
