Explanation of Responses:

1. On June 25, 2018, the reporting person was granted 10,170 shares of the issuer's common stock for compensation as a board member. The reporting person was also granted 4,332 shares of the issuer's common stock as compensation for his role as Non-Executive Chairman of the Board of Directors. These shares are restricted stock and will be 100% vested on December 31, 2018.
