Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
On October 3, 2019, Mr. Robert K. Coretz announced his intention to resign from the Board of Directors (the “Board”) of Air Transport Services Group, Inc. (the “Company”), effective on October 25, 2019. Mr. Coretz advised the Company that he is resigning in order to focus on other commitments. His resignation is not the result of any disagreement with the Company.
Mr. Coretz, the founder and a former Chairman of the Board and shareholder of Omni Air International, LLC (“Omni”), joined the Board in February 2019 following the Company’s acquisition of Omni and two related companies in November 2018. He committed to serve on the Board for at least one year to facilitate the integration of Omni into the Company. Mr. Coretz does not serve on any of the standing committees of the Board.
The Board does not intend to appoint a successor for Mr. Coretz at this time.
