Explanation of Responses:

1. As a result of the merger between Uroplasty Inc. and Cogentix Medical, Inc., formerly Vision-Sciences, Inc. ("Cogentix"), the common stock of Cogentix split 1-for-5 resulting in a decrease in the number of options held by the reporting person. The reported option grant is adjusted to reflect the reverse split that occurred on March 31, 2015.

2. The initial expiration date of the option grant was changed as a result of the merger.
