ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On September 28, 2005, Perot Systems Corporation, a Delaware corporation (the “Company”), amended and restated the Perot Systems Corporation Amended and Restated 1991 Stock Option Plan (the “1991 Plan”). A copy of the Amended and Restated 1991 Stock Option Plan is filed herewith as Exhibit 10.7.
