Item 1.01Entry into Material Definitive Agreements
On April 26, 2007, Discover Bank entered into a Terms Agreement, dated as of April 26, 2007, with Morgan Stanley & Co. Incorporated, Banc of America Securities LLC, Citigroup Global Markets Inc., Greenwich Capital Markets, Inc., JPMorgan Securities Inc. and RBC Capital Markets Corporation (the “Terms Agreement”), with respect to the issuance of (1) $1,100,000,000 aggregate principal amount of Series 2007-3 Floating Rate Class A, Subseries 1 Credit Card Pass-Through Certificates, (2) $57,895,000 aggregate principal amount of Series 2007-3 Floating Rate Class B, Subseries 1 Credit Card Pass-Through Certificates of Discover Card Master Trust I, (3) $500,000,000 aggregate principal amount of Series 2007-3 Floating Rate Class A, Subseries 2 Credit Card Pass-Through Certificates, and (4) $26,316,000 aggregate principal amount of Series 2007-3 Floating Rate Class B, Subseries 2 Credit Card Pass-Through Certificates of Discover Card Master Trust I. A copy of the Terms Agreement is filed as Exhibit 1.1 to this Current Report on Form 8-K and is incorporated herein by reference.
