| Response: | The Registrant submits that investors may suffer losses only in two cases: (1) if the Underlying Issuer defaults in its payment obligations on the underlying securities (that risk is addressed in risk factor 3 on page 22 of the prospectus supplement and in risk factor 5 on page 23 of the prospectus supplement) and (2) if the Underlying Issuer is no longer subject to the reporting requirements or ceases to file certain reports under the securities laws (that risk is addressed in risk factor 5 on page 23 of the prospectus supplement and risk factor 6 on page 23 of the prospectus supplement).
