Item 8.01. Other Events.
On January 25, 2017 the Registrant issued a press release announcing that the special dividend on its common stock will be payable March 9, 2017, to stockholders of record on February 28, 2017. Consistent with New York Stock Exchange guidelines, the ex-dividend date will be March 10, 2017. As previously announced, the special dividend will consist of $3.00 in cash and $5.00 in principal amount of the Company's 6% Subordinated Debentures due 2027 for each share of common stock (less any applicable withholding tax). A copy of the press release announcing the payment and record dates is attached as Exhibit 99.1.
