Explanation of Responses:

1. Represents shares of common stock (the "Shares") of VAALCO Energy, Inc. (the "Issuer") transfered from BLR Partners LP to its partners, including Mr. Radoff, as a pro-rata in-kind distribution of Shares.

2. Shares that were beneficially owned directly by BLR Partners LP. Mr. Radoff, as the sole shareholder and sole director of each of BLRGP Inc. and FMLP Inc., which serve as the general partners of BLRPart, LP, and Fondren Management, LP, respecitvely, which serve as the general partner of and investment manager of BLR Partners LP, respecitively, may have been deemed the beneficial owner of the Shares beneficially owned by BLR Partners LP.

3. Shares beneficially owned directly by the Radoff Foundation. As a director of the Radoff Foundation, Mr. Radoff may be deemed to beneficially own the Shares beneficially owned by the Radoff Foundation.
