Item 2.02. Results of Operations and Financial Condition.
On February 14, 2023, VAALCO Energy, Inc. (the “Company”) issued a press release providing an operational update including fourth quarter production and capital spending. A copy of the Company’s press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.

Item 7.01 Regulation FD Disclosure.
On February 14, 2023, the Company issued a press release announcing its quarterly cash dividend of $0.0625 per share of common stock for the first quarter of 2023 ($0.25 annualized), which is payable March 31, 2023 to stockholders of record at the close of business on March 24, 2023. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
