Item 2.02 Results of Operations and Financial Condition.
On October 3, 2017, AZZ Inc. (“AZZ”) issued press releases reporting AZZ’s (i) unaudited earnings and other selected financial information for the quarter ended August 31, 2017; and (ii) the declaration of a cash dividend payment of $0.17 per share to shareholders of record as of October 18, 2017, which will be paid November 1, 2017. A copy of these press releases are attached hereto as Exhibit 99.1 and Exhibit 99.2 and are incorporated herein by reference.
