M-SYSTEMS FILES SHELF REGISTRATION
KFAR-SABA, Israel, October 28, 2005 - M-Systems (Nasdaq: FLSH) today announced that it has filed a shelf registration statement with the Securities and Exchange Commission, which will permit it from time-to-time to offer and sell up to $200,000,000 of its ordinary shares.
This shelf registration statement, when declared effective by the SEC, will allow M-Systems, subject to market conditions and the Company`s capital needs, to access the capital markets periodically to fund potential acquisitions and potential investments or expenditures to secure additional sources of supply for flash memory components, as well as for general corporate purposes.
A registration statement relating to these securities has been filed with the Securities and Exchange Commission, but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective. This release shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of these securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
