On November 16, 2022, Wolfspeed, Inc. (the “Company”) and BorgWarner Inc. (“BorgWarner”) issued a joint press release announcing a strategic partnership that calls for BorgWarner to invest $500 million in the Company’s previously announced financing transaction, in exchange for a Silicon Carbide device capacity corridor for up to $650 million of devices annually. The press release is attached as Exhibit 99.1 and is incorporated by reference into this Item 7.01.
