Item 2.02 Results of Operations and Financial Condition

On April 22, 2009, Morgan Stanley (the "Registrant") released financial information with respect to its quarter ended March 31, 2009. A copy of the press release containing this information is annexed as Exhibit 99.1 to this Report and by this reference incorporated herein and made a part hereof. In addition, as previously disclosed, as a result of the change in the Registrant’s fiscal year, the results of the Registrant’s December 2008 fiscal month transition period (the “Transition Period”) are separately reported in the Registrant’s Financial Data Supplement for its fiscal quarter ended March 31, 2009. A copy of  the Registrant's Financial Data Supplement for its fiscal quarter ended March 31, 2009, including the Transition Period, is annexed as Exhibit 99.2 to this Report and by this reference incorporated  herein and made a part hereof.
