Item 1.01 Entry into a Material Definitive Agreement.
On July 20, 2020, Shoe Carnival, Inc. (the “Company”) entered into a Fourth Amendment to Credit Agreement (the “Fourth Amendment”) with the financial institutions party thereto as “Banks” and Wells Fargo Bank, N.A. (successor-by-merger to Wachovia Bank, National Association), as agent. The Fourth Amendment amends the Credit Agreement, dated as of January 20, 2010, among the Company, the Banks from time to time party thereto and Wachovia Bank, National Association, as agent, as previously amended on April 10, 2013, March 27, 2017 and April 16, 2020 (the “Existing Credit Agreement”) to, among other things:

| • | Eliminate the covenant involving the ratio of Funded Debt plus three times rent expense to EBITDA (as defined in the Existing Credit Agreement) plus one times rent expense for the fiscal quarters ending on or about July 31, 2020; October 31, 2020; and January 31, 2021; |

| • | Amend the definition of LIBOR to establish a minimum rate of interest of 0.75% per annum; and |
| | |
| • | Establish increased reporting requirements to the Banks through January 31, 2021. |

The Banks and their affiliates have performed, and may in the future perform, various commercial banking, investment banking, brokerage, trustee and other financial advisory services in the ordinary course of business for the Company and its subsidiaries for which they have received, and will receive, customary fees and commissions.
