Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
(d) The Company appointed Leo Mullin as a director of the Company, effective August 14, 2007, to hold office until the next annual meeting of shareholders of the Company. There are no arrangements or understandings between Mr. Mullin and any other person pursuant to which he has been selected as a director.
Mr. Mullin has been appointed to the Audit Committee and Finance & Investment Committee of the Board of Directors.
The Company is entering into an indemnification agreement with Mr. Mullin in the form it has used for other directors and executive officers.
A copy of the press release announcing Mr. Mullin’s appointment is attached as Exhibit 99.1.
