1. The total amount of shares beneficially owned includes 887 shares held in an employee stock purchase plan account.

2. The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan previously adopted by the reporting person.

3. The information in this report is based on a plan statement dated as of June 30, 2020.

4. On May 1, 2015, the reporting person was granted an option to purchase 22,500 shares of common stock, subject to time-based vesting. 11,250 of the options vested on May 1, 2019, and the remaining 11,250 options vested on May 1, 2020. After the transactions reported in this Form 4, 300 of the options remain unexercised.
