Explanation of Responses:

1. The Issuer awarded the Reporting Person 5,832 time-based RSUs, each of which represents a contingent right to receive one share of the Issuer's common stock, and will vest 25% on each of February 16, 2026 and February 16, 2027 and 50% on February 16, 2028, provided that the Reporting Person remains continuously employed by the Issuer on each such date.
