Remarks:

Reporting Person is the sole owner of Landmark Financial Corp. and of Landmark Pegasus Inc. and has sole voting and dispositive power over shares held by those entities. The Warrant was acquired by F & M Partnership, which is 50% owned by the Reporting Person, on October 28, 2015. The Reporting Person shares the power to dispose of the Warrant and will share the power to vote and dispose of the Common Stock underlying the Warrant in the event the Warrant is exercised.
