Item 5. Other Events.
On August 13, 2004, Avid Technology, Inc., a Delaware corporation (the “Company”), announced that it had entered into an Agreement and Plan of Merger (the “Merger Agreement”), by and among the Company, Maui Paradise Corporation, a California corporation and a wholly-owned subsidiary of the Company (the “Merger Sub”), Maui LLC, a Delaware limited liability company and a wholly-owned subsidiary of the Company (the “Merger LLC”), and Midiman, Inc., a California corporation doing business as M-Audio (“M-Audio”). The Merger Agreement provides for the merger of the Merger Sub with and into M-Audio and the subsequent merger of M-Audio with and into Maui LLC with Maui LLC as the surviving entity. Upon completion of this transaction, M-Audio will be a wholly-owned subsidiary of the Company.
