Represent shares purchased from Subsidiary by the Reporting Person, subject to the right of Subsidiary to (a) repurchase those shares at the same sale price and (b) to receive all proceeds in excess of the aggregate purchase price paid by the Reporting Person from the sale of the shares by the Reporting Person to a third party, in each case, before May 2, 2018.
