1. This Form 4 is being filed as Mr. Mestre may be deemed to be part of a group with Orchestra-Premaman S.A. ("Orchestra") and Yeled Invest S.A. ("Yeled") pursuant to Rule 13d-5(b). Yeled directly beneficially owns over 10% of the outstanding Common Stock of Destination Maternity Corporation (the "Issuer"). Mr. Mestre disclaims any beneficially ownership of or pecuniary interest in the shares held by each of Orchestra and Yeled.
