SECTION 1 – REGISTRANT’S BUSINESS AND OPERATIONS
Item 1.01 Entry into a Material Definitive Agreement
On February 22, 2018, Textmunication Holdings, Inc. (“Company”) and GS Capital Partners, LLC (“Holder”) reached a Note Settlement Agreement in respect to a $115,000 convertible note issued by the Company to the Holder on May 15, 2017 (the “Note”). The parties agreed to let the Company retire the note by making 5 payments over a five-month period.
On September 4, 2018, the Company made the final installment payment retiring the note with the Holder.
