Item 1.01. Entry into a Material Definitive Agreement.
On October 17, 2005, Peerless Systems Corporation (“Peerless”) and Adobe Systems Incorporated (“Adobe”) entered into Amendment No. 26 to the Postscript Software Development License and Sublicense Agreement dated July 23, 1999 (the “Amendment”). The Amendment is effective as of October 13, 2005 and amends certain rights and responsibilities of the parties relating to the JPEG2000 source code. The Amendment will be filed as an exhibit to Peerless’ Quarterly Report on Form 10-Q for the quarter ended October 31, 2005.
