O’REILLY AUTOMOTIVE, INC. ANNOUNCES PRICING OF $300 MILLION OF
SENIOR NOTES DUE 2021
SPRINGFIELD, Mo., September 14, 2011 – O’Reilly Automotive, Inc. (“O’Reilly” or “the Company”) (Nasdaq: ORLY) announced today that it has priced its previously announced offering of $300 million aggregate principal amount of 4.625% Senior Notes due 2021 (the “Notes”) at a price to the public of 99.826% of their face value. The Company anticipates that the offering will close on or around September 19, 2011, subject to customary closing conditions. The Company intends to use the net proceeds of the offering for general corporate purposes, including share repurchases, to repay borrowings outstanding from time to time under its credit facility and to pay related fees and expenses.
A registration statement on Form S-3, File No. 333-176829, relating to the Notes has been filed with the Securities and Exchange Commission and became effective upon filing.
