The amount reported reflects the number of shares beneficially owned by the reporting person as of May 8, 2020, the date of the filing of the Issuer's Form 10-Q for the quarter ended March 31, 2020, and has not been adjusted to reflect the 1-for-15 reverse stock split of the Issuer's common stock which subsequently became effective on August 13, 2020.

2. The securities are held in the account of Toby Cooperman over which the reporting person has investment discretion. The reporting person disclaims beneficial ownership, and the inclusion of these securities in this report shall not be deemed an admission of beneficial ownership for purposes of Section 16 or for any other purpose.
