State below in reasonable detail the reasons why Form 10-K and 10-KSB, 20-F, 11-K, 10-Q and
10-QSB, N-SAR or the transition report or portion thereof could not be filed within the
prescribed time period.
Because of the limited resources of the Company, and the reporting and other
accounting requirements related to certain transactions of the Company, the Company's
accounting staff was unable to complete the preparation of the Form 10-QSB by May 15,
2002. The Company plans on filing the Form 10-QSB as soon as is reasonably
practicable.
