Unaudited Pro Forma Condensed Consolidated Financial Information
The following unaudited pro forma condensed consolidated financial information has been derived by the application of pro forma adjustments to the historical consolidated financial statements of OM Group, Inc. (“OMG” or “the Company”) and of the combined financial statements of the Electronics Businesses of Rockwood Specialties Group, Inc. The unaudited pro forma condensed consolidated statement of income gives effect to the acquisition of the Electronics Businesses of Rockwood Specialties Group, Inc. by OMG as if it had occurred on January 1, 2007. For purposes of the unaudited pro forma condensed consolidated financial information, the combined historical statements of income of the Electronics Businesses of Rockwood Specialties Group, Inc. for the nine months ended September 30, 2007 (audited) and for the three months ended December 31, 2007 (unaudited) have been combined with OMG’s audited statement of income for the year ended December 31, 2007.
A pro forma balance sheet has not been included as the balance sheet effects of the acquisition are reflected in the Company’s audited consolidated balance sheet as of December 31, 2007 included in the Company’s Annual Report on Form 10-K for the year ended December 31, 2007.
Assumptions underlying the pro forma adjustments necessary to reasonably present this pro forma information are described in the accompanying notes, which should be read in conjunction with this unaudited pro forma condensed consolidated financial information. The pro forma adjustments described in the accompanying notes have been made based on available information and, in the opinion of management, are reasonable. The unaudited pro forma condensed consolidated financial information should not be considered indicative of actual results that would have been achieved had the acquisition occurred on the date indicated and do not purport to indicate results of operations for any future period.
The acquisition of the Electronics Businesses of Rockwood Specialties Group, Inc. by OMG has been accounted for as a purchase in conformity with Statement of Financial Accounting Standards (“SFAS”) No. 141, “Business Combinations,” with intangible assets recorded in accordance with SFAS No. 142, “Goodwill and Other Intangible Assets.” The unaudited pro forma condensed consolidated statement of income reflects the effects of applying certain preliminary purchase accounting adjustments to the historical consolidated results of operations, including items expected to have a continuing impact on the consolidated results, such as increased depreciation and amortization on acquired tangible and intangible assets. The final purchase price allocation is subject to the final determination of the fair values of assets acquired and liabilities assumed of the Electronics Businesses of Rockwood Specialties Group, Inc. and, therefore, that allocation and the resulting effect on income from operations may differ from the unaudited pro forma amounts included herein.
