Explanation of Responses:

1. The grant is in the form of restricted shares subject to a five-year cliff vesting period that were awarded pursuant to the Company's Amended and Restated Executive Incentive Plan for Company performance achieved in 2021. The plan required final measurement of performance upon completion of the Company's Form 10-K for the year ended December 31, 2021, which was filed with the SEC on February 22, 2022.
