Explanation of Responses:

1. Each restricted stock unit converts into one share of DHI common stock.

2. These shares were surrendered to issuer to cover tax obligations of the 12,732 shares of DHI common stock issued upon the vesting of the restricted stock units awarded March 23, 2022.

3. Ownership of shares converted from Donald R. Horton to The Horton Family Revocable Trust for tax and estate planning purposes.

4. Following all transactions listed on this Form 4, Mr. Horton owns directly 8,021 shares of DHI common stock and indirectly beneficially owns 4,294,230 shares of DHI common stock.

5. On March 23, 2022, the reporting person was granted 38,197 restricted stock units, vesting in three annual installments beginning March 23, 2023.
