Explanation of Responses:

1. On December 17, 2020, the reporting person gifted 37,498.8539 shares to her spouse and 75,000 shares to three trusts for the benefit of her children of which the reporting person's spouse serves as co-trustee. The reporting person remains the indirect beneficial owner of all of the gifted shares.
