On June 15, 2015, the Company issued a press release announcing that the European Commission has conditionally cleared the planned acquisition of the Company by Merck KGaA, Darmstadt, Germany. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
