Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 13, 2007, Nicholas B. Paumgarten, a director of Post Properties, Inc. (the “Company”) notified the Company of his determination not to stand for re-election to the Company’s Board of Directors. Mr. Paumgarten’s determination did not involve a disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Paumgarten currently serves as Chairman of the Nominating and Corporate Governance Committee of the Board of Directors.
Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
Effective February 13, 2007, the Company’s Board of Directors unanimously approved an amendment to Article IV, Section 4 of the Company’s Amended and Restated Bylaws (“Bylaws”). The amendment limits certain inspection rights under Georgia law to shareholders owning more than two percent of the Company’s outstanding shares. The above summary is qualified in its entirety by reference to the full text of (1) the Company’s Bylaws as filed with the Securities and Exchange Commission (the “SEC”) as an exhibit to the Company’s Quarterly Report on Form 10-Q for the quarter ended September 30, 2003, (2) Amendment No. 1 to the Company’s Bylaws, as filed with the SEC as Appendix A to the Company’s 2004 proxy statement and (3) Amendment No. 2 to the Company’s Bylaws, a copy of which is attached to this Current Report on Form 8-K as Exhibit 3.1.
