Item 5.05. Amendment to Registrants Code of Ethics, or Waiver of a Provision of the Code of Ethics.
On July 23, 2020, the board of directors ("Board") of Simmons First National Corporation ("Registrant") approved an amendment to the Registrant's Code of Ethics ("Code") to change the member of management designated to review, in coordination with the Board's Nominating and Corporate Governance Committee, related party transactions from the Registrant's chief people officer to the Registrant's general counsel.
The amendment to the Code is effective July 23, 2020. The text of the Code, as amended, is attached hereto as Exhibit 14.1 and incorporated herein by reference. This description of the amendment to the Code is qualified in its entirety by reference to the text thereof.
