Explanation of Responses:

1. Settlement of performance share units (PSUs) that were granted on 02/26/2020, based on achievement of performance goals during the requisite performance period.

2. Includes 581 shares acquired by the Reporting Person pursuant to the Issuer's Employee Stock Purchase Plan.

3. Each Restricted Stock Unit represents a contingent right to receive one share of Simmons First National Corporation common stock.

4. 1,097 Restricted Stock Units vest on January 19, 2024; 1,097 Restricted Stock Units vest on January 19, 2025; and 1,097 Restricted Stock Units vest on January 19, 2026. SFNC shares will be delivered within 30 days of vesting. Events such as retirement, death, disability and other specified events in the agreement may result in earlier vesting.

Remarks:

The original Form 4 (and first Form 4A) erroneously indicated, in Table I, a disposition associated with the withholding of 998 shares of SFNC common stock for the payment of tax liabilities associated with the settlement of performance share units. This Form 4A is filed solely to remove that disposition.
