1. This constitutes the weighted average purchase price. The prices range from $9.71 to $9.72. The reporting person will provide upon request by the Securities and Exchange Commission staff, the issuer or a security holder of the issuer, full information regarding the number of shares purchased at each separate price.

2. The amount of securities beneficially owned by the reporting person following this reported transaction includes 928.6854 shares acquired by the reporting person pursuant to the issuer's dividend reinvestment plan.

3. The reported securities were purchased by an individual retirement account held by Mr. Distenfeld's wife over which Mr. Distenfeld has investment discretion. The reporting person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
